EARLY BACKERS LIMITED OFFER

 

Welcome to iMorph Smart technologies, LLC. (“iMorph” “We” “Us’). By using this website (the “Site”), services and offers made by us, the “Backer(s)”, you, are agreeing to these legally binding rules (the “Terms”). You’re also agreeing to our Privacy Policy as set forth in our Site and agreeing to follow any other rules on the Site.
 

We may change these terms from time to time. If we do, we’ll let you know about any material changes, either by notifying you on the Site or by sending an email to you. New versions of the terms will never apply retroactively — we’ll tell you the exact date they go into effect.

iMorph is providing an Early Backer Limited Offer (the “Offer”) funding platform to early Backers who wish to be a part of the growth of Cigfree Smart Band™. We are inviting our Backers to participate in our growth by backing our Independent Review Board open label Clinical Trial (the “Clinical Trial”) to determine the efficacy of CigFree in helping people to stop or significantly reduce smoking. Anyone who backs our limited 
offer is accepting our offer, and entering into an agreement based on the terms offered
in the Rewards section of our Offer.

 

The contract is a direct legal agreement between Backers and iMorph. Here are the terms that govern that agreement:

 

iMorph requires up to $100,000 to complete its clinical trials and upon securing the funds in full, iMorph will close this offer to additional Backers. iMorph may end this offer at any time prior to the full funding in accordance with these Terms.
 

When our Clinical trial is successfully funded, iMorph must continue to complete its CigFree project as specified and fulfill each reward to its Backers. Once we have done so, we will have satisfied our obligation to our Backers.
 

Throughout the process, we owe Backers a high standard of effort, honest communication, and a dedication to bringing CigFree to life. At the same time, Backers must understand by backing CigFree, they are helping to create something new — not ordering something that already exists. There may be changes or delays, and there is a possibility something could happen that prevents us from being able to finish the project as stated.


If we are unable to complete CigFree and fulfill rewards, we will have failed to live up to the basic obligations of this agreement. To right this, we will make every reasonable effort to find another way of bringing the project to the best possible conclusion for Backers. We will have only remedied the situation and met our obligations to backers if:
 

  • We post updates on our website that explains what work has been done, how funds

were used, and what is required to finish CigFree as planned;

  • We work diligently and in good faith to bring CigFree to the best possible conclusion in a

timeframe that’s communicated to Backers;

  • We are able to demonstrate that We’ve used funds appropriately and made every

reasonable effort to complete CigFree as stated;

  • We have been forthcoming, and have made no material misrepresentations in

communication to Backers; and

  • We offer to return any remaining funds to Backers who have not received their reward
    (in proportion to the amounts backed), or else explain how those funds will be used to complete the project in some alternate form.

 

We are solely responsible for fulfilling the promises made in our Offer. If we are unable to satisfy the terms of this agreement, we may be subject to legal action by backers.
 

HOW BACKING CIGFREE WORKS
 

This section goes over the details of backing and creating projects — things like how money gets collected, whether pledges can be changed or canceled, and how creators can contact backers to provide rewards.

 

  • Backers are charged at the time their transactions to acquire the rewards are processed.
    Backers are to provide standard information when Backers agree to back Cigfree.
    All payment will be collected upon processing and will be directed towards the 
    completion of the Clinical Trial. The Offer will continue until the funding target has been achieved or iMorph has terminated the Offer.

  • Backers can increase their backing at the earlier of funding target being reached and the Offer terminated, with one exception. During the last 24 hours of the campaign, you can’t increase your backing without contacting customer support.

  • The Estimated Reward Delivery Date is our estimate. The date listed on each reward is our estimate of when we will provide the reward. It is not a guarantee to fulfill by that date. The schedule may change as we work on producing CigFree. We will communicate to Backers all changes.

  • We may need to send questions about rewards to Backers. To deliver rewards, we may need information from you, like your mailing address. To receive the reward, you’ll need to provide the information in a reasonable amount of time.


iMorph owns our content and intellectual property. Only iMorph may use the content for any reason. Backers or any of their related entities may not use the content or intellectual property for any reason.
We comply with the Digital Millennium Copyright Act.

 

You may  delete your account at any time. Deleting your account won’t make content to maintain control over what happens on our website. So in this section, we reserve the right to make decisions to protect the health and integrity of our system. 

RISKS AND CHALLENGES

With any hardware project there are things that we cannot know for certain. Parts can fluctuate in price or become difficult to source. Unforeseen issues could arise during the manufacturing, and final testing that may require more time or redesigns. Since we have been here before, we are doing our best to account for these circumstances in our timeline.

We have experience with the process and expectations, there are always risks with building a product. Especially hardware.

Here are some risks, and how we are mitigating them:

Electronics Design: Electrical Engineering is never a seamless transition from idea to final product. We started this process back in February of 2017 and partnered with some great companies to help us navigate the electronic component obsoletion and scarcity. We have tier 1 components with backup components for this. We have filled out intent to purchase with the major components to ensure that stock is reserved for our CigFree™ Smart Band.

We have game planned and established protocols for our business through production and then sales and marketing in the first year. Once we complete the clinical trial with positive outcomes, we will begin to put in place the logistics for shipping and fulfillment.

 

Our belief that we can ship by the end of the 2nd quarter is our best estimate. Many
things can happen that can prolong sales and shipping. We will keep you posted always and do our best to deliver the product you have backed.

Rest assured that we have been thinking about all of the challenges that could arise during launch. We've consulted with other creators and industry experts, to come up with a well-prepared game plan for CigFree™ Smart Band. Our goal is not to just sell you something, our goal is to help people who want to stop smoking cigarettes free themselves from nicotine dependence.

DISPUTE RESOLUTION & GOVERNING LAW


We’re located in Florida, and any disputes with us have to be handled in Florida under Florida State law. We encourage you to contact us if you’re having an issue, before resorting to the courts.
 

In the unfortunate situation where legal action does arise, these Terms (and all other rules, policies, or guidelines incorporated by reference) will be governed by and construed in accordance with the laws of the State of Florida in the Courts located in the county of Miami-Dade without giving effect to any principles of conflicts of law, and without application of the Uniform Computer Information Transaction Act or the United Nations Convention of Controls for International Sale of Goods. You agree to any action at law or in equity arising out of or relating to these Terms.

 

These are the official terms and our rules for how things work. (if you ever see confusing or conflicting information about any of this stuff, just check these terms — they’re the last word.) Thanks so much for reading them!

 

These Terms and the other material referenced in them are the entire agreement between Backers and iMorph with respect to the Offer. They supersede all other communications and proposals (whether oral, written, or electronic) between Backers and iMorph with respect to the Offer and govern our future relationship. If any provision of these Terms is found to be invalid under the law, that provision will be limited or eliminated to the minimum extent necessary so that the Terms otherwise will remain in full force and effect and enforceable. The failure of either Backers or iMorph to exercise any right provided for in these Terms in any way won’t be deemed a waiver of any other rights.
 

These Terms are personal to you. You can’t assign them, transfer them, or sublicense
them unless you obtain iMorph’s prior written consent.
